One day ahead of the formal entry into force of the new Code for Companies and Associations ("CCA"), i.. on 1 May 2019, a Royal Decree dated 29 April 2019 implementing this bill has been published in the Belgian State Gazette.
We will keep you posted on interesting developments as the CCA enters into force.
For your information, although the CCA applies as from 1 May 2019, it will have no immediate effect for existing companies:
- As from 1 May 2019: new companies and associations must be incorporated according to the CCA;
- Between 1 May 2019 and 31 December 2019: existing companies and associations can freely decide to "opt-in" for the new regime of the CCA;
- As from 1 January 2020: all mandatory provisions of the CCA apply automatically to existing companies and associations;
- Prior to 1 January 2024, all existing companies and associations must have amended their articles of associations, to the extent necessary, to comply with the CCA.
